Agreement to Terms

These Terms of Service ("Terms") govern your use of the Voyager AI website, products, and services ("Services").

By using our Services, you agree to these Terms. If you do not agree, please do not access or use the Services.

Description of Services

Voyager AI provides AI-powered lending automation for financial institutions. Our platform helps banks and credit unions work faster and more accurately.

Key capabilities include:

• Credit analysis and risk assessment
• Document processing and extraction
• Workflow automation for lending operations

User Accounts

Some features require an account. When you create one, you agree to:

• Provide accurate and complete information
• Keep your account details up to date
• Protect the security of your login credentials
• Take responsibility for all activity under your account
• Tell us right away about any unauthorized use

Acceptable Use Policy

Use the Services only for lawful purposes. You agree not to:

• Break any applicable law or regulation
• Use the Services for fraud or deception
• Try to access systems or data without permission
• Use bots, scrapers, or automated tools without written approval
• Disrupt or overload our servers or networks
• Upload viruses, malware, or harmful code
• Reverse engineer or disassemble any part of the Services
• Remove or hide any proprietary notices
• Send unsolicited ads or spam through the Services
• Impersonate Voyager AI, its employees, or any other person

Intellectual Property Rights

All content, features, and functionality in the Services belong to Voyager AI or its licensors. This includes software, text, images, video, audio, and design elements. These are protected by U.S. and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business needs.

This license does not include the right to:

• Sublicense or transfer access to others
• Modify, adapt, or translate the Services
• Reverse engineer, decompile, or disassemble the platform
• Create derivative works based on the Services

User Content and Data

You own all data and content you submit to the Services ("User Content"). By submitting it, you grant Voyager AI a license to use, process, and store that content solely to deliver the Services to you.

You confirm that you have the rights to submit your content and that it does not violate any third-party rights or laws.

Confidentiality

Both parties agree to keep the other's confidential information private. Neither party may share it with third parties without written consent, unless required by law.

Confidential information includes:

• Business strategies and plans
• Customer data
• Technical specifications
• Financial information

Payment Terms

For paid Services, you agree to pay all fees listed in your service agreement. Unless stated otherwise:

• Fees are in U.S. dollars
• Payment is due within 30 days of the invoice date
• Fees are non-refundable unless your agreement says otherwise
• We may pause your access for overdue payments
• You are responsible for all applicable taxes

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VOYAGER AI MAKES NO WARRANTIES, EXPRESS OR IMPLIED.

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT ARE DISCLAIMED.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY LAW, VOYAGER AI IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. THIS INCLUDES LOST PROFITS, DATA LOSS, OR LOSS OF GOODWILL.

THIS APPLIES TO DAMAGES ARISING FROM:

• YOUR USE OF (OR INABILITY TO USE) THE SERVICES
• THIRD-PARTY CONDUCT OR CONTENT ON THE SERVICES
• CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS TO YOUR DATA OR TRANSMISSIONS

Our total liability is capped at the greater of: (a) fees you paid us in the prior 12 months, or (b) $100.

Indemnification

You agree to defend and hold harmless Voyager AI, its affiliates, officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) that arise from your violation of these Terms or your use of the Services.

Term and Termination

These Terms stay in effect until terminated. We may suspend or end your access at any time if you breach these Terms.

When terminated, your right to use the Services ends immediately. Sections on ownership, warranties, indemnity, and liability limits survive termination.

Changes to These Terms

We may update these Terms at any time. When we make changes, we will post the updated version here and revise the "Last updated" date.

Your continued use of the Services after changes are posted means you accept the new Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law rules.

Any legal action must be filed in federal or state courts in Ozaukee County, Wisconsin. You agree to the jurisdiction of those courts.

Dispute Resolution

Before filing a claim, both parties will attempt to resolve disputes through good-faith negotiation for at least 30 days.

If negotiation fails, either party may pursue binding arbitration or litigation as allowed under these Terms.

All arbitration is conducted individually. You waive any right to participate in class actions or class arbitrations.

Severability

If any part of these Terms is found invalid or unenforceable, the rest remains in full effect. The invalid part will be adjusted as little as possible to become enforceable while keeping its original intent.

Entire Agreement

These Terms, our Privacy Policy, and any other agreements referenced here make up the full agreement between you and Voyager AI. They replace all prior discussions, agreements, and warranties.
